Terms and Conditions of Micro Flair Global

Please read these terms and conditions carefully before using this website and its contents. Your use of this website is based solely on your acceptance of the terms and conditions contained herein. By using this website you acknowledge and accept these terms and conditions. If you do not agree to these terms and conditions, you must not use this website. Micro Flair Global reserves the right to change these terms and conditions from time to time at its sole discretion.

  • It is specifically agreed that Micro Flair Global is an independent business entity and shall not be deemed to be any agent except for the transactions/services of Micro Flair Global and other related services mentioned above, which gives rise to Principal Agent Relation by implication.
  • Neither Micro Flair Global nor its employees, agents, representatives shall act or represent themselves as agents.
  • Neither Micro Flair Global nor its employees, representatives or agents of Micro Flair Global shall be entitled for permanent absorption or any other claim or claim of benefit at any time.
  • At no time, Micro Flair Global or its agents, representatives, shall make any claim of employment of any kind.
  • The amount paid to the Micro Flair Global franchisee is non-refundable.
  • GSC will be governed by the marketing plan in force from time to time for one time charge users. All such payments shall be non-refundable service payments for franchise fee, software solution, training and administrative expenses. The specific terms of engagement will be governed by the scheme in force at the time of signing of the agreement. The offer letter of the same shall form part of this Agreement, which shall be binding on the parties.
  • Micro Flair Global shall be paid fees and commission subject to deduction of income wherever required under the provisions of the Income-tax Act. The rates for services and commission will be part of the "Rates for Services" and will be available to Micro Flair Global partners on the CRM portal. The rates and commission structure are subject to change depending on the market conditions. Rates applicable on any product will be made known to IGS Digital Center Partners via email / CRM page update.
  • The fee structure and commission for partners will be governed by market conditions. However, in perspective of this agreement, the IGS Digital Center commission for all GST related services (GST registration, GST return filing, GST bookkeeping, tab based accounting facility) shall be 50% of the service fee from the client. Any change in the fee structure will be informed by exchange of emails. Any service added later will be visible on the CRM panel of Micro Flair Global and will be notified to Micro Flair Global via email/CRM update. Micro Flair Global shall be bound to offer such services to its Customers at the aforesaid price and commission structure notified to Micro Flair Global from time to time. All other taxes including GST, wherever applicable, duties and other charges, which may be levied, shall be borne by Micro Flair Global and shall not be liable for the same.
  • The payment of fees/commission will be based on the centralized data of Micro Flair Global and will be final and binding on Micro Flair Global to Micro Flair Global on weekly basis.

Terms and Termination

  • Micro Flair Global shall have the right to terminate the Agreement by giving three months' notice in writing to the other party. In the event of termination of the Agreement by Micro Flair Global , information including all records, documents shall be returned to Micro Flair Global in accordance with the instructions of Micro Flair Global.
  • Micro Flair Global shall have the right to terminate the Agreement forthwith by giving a notice in writing in the following events:
  • If any receiver/liquidator is appointed in respect of the business of Micro Flair Global having substantial assets in favor of its creditors or any order/direction is issued by any authority/regulator having the effect of suspension of business Micro Flair Global.
  • If Micro Flair Global applies to the Court or passes a motion for voluntary declaration as an insolvent person or business entity or any other creditor/person, files a petition for winding up or dissolution of Micro Flair Global.
  • If Micro Flair Global is, in its reasonable opinion, unable to pay its debts or to discharge its liabilities in the ordinary course of business.
  • If Micro Flair Global is unable to provide the Services envisaged under this Agreement, it shall make a reasonable assessment of the circumstances affecting the rendering of the Services by Micro Flair Global as envisaged under this Agreement.
  • If due to any commission or omission of Micro Flair Global or its agents, employees, representatives, reasonable opinion mechanisms to cause fraud or prejudice to the interest of Micro Flair Global or its customers.
